GENERAL TERMS

1. General
These Terms & Conditions govern the provision of products and/or services by Al Nasr Contracting Company LLC (“Company”, “we”, “us” or “our”) to the customer (“Customer”, “you” or “your”). By placing an order, accepting a quotation, signing an agreement, or using our products or services, you agree to these Terms & Conditions.
2. Quotations and Orders
* All quotations are subject to availability and may be valid only for the period specified in the quotation.
* An order shall become binding upon written acceptance by the Company or receipt of any required advance payment.
* The Company reserves the right to decline or cancel an order where necessary due to availability, technical, legal, or commercial reasons.
* Any changes to an accepted order must be agreed in writing and may result in additional costs or changes to the delivery schedule.
3. Prices and Taxes
* All prices shall be as stated in the applicable quotation, purchase order, or agreement.
* Unless expressly stated otherwise, prices exclude applicable taxes, delivery charges, installation charges, or other additional costs.
* Any applicable VAT or government charges shall be payable by the Customer in accordance with applicable law.
* The Company reserves the right to correct obvious pricing or calculation errors.
4. Payment Terms
* Payment shall be made according to the payment terms stated in the quotation, invoice, or agreement.
* Unless otherwise agreed in writing, invoices are payable within the agreed payment period.
* The Company may suspend or delay delivery of products or services where payments are overdue.
* The Customer shall be responsible for any reasonable costs incurred in recovering overdue amounts, subject to applicable law.
5. Delivery and Completion
* Delivery or completion dates provided by the Company are estimates unless expressly guaranteed in writing.
* The Company shall not be responsible for delays caused by circumstances beyond its reasonable control.
* The Customer shall provide all information, approvals, access, documents, and facilities reasonably required for timely performance.
* Any additional work resulting from delays, changes, or circumstances attributable to the Customer may be charged separately.
6. Inspection and Acceptance
* The Customer shall inspect products or completed services within a reasonable period after delivery or completion.
* Any visible defect, shortage, or discrepancy should be reported to the Company in writing within [7] days.
* If no written notification is received within the applicable period, the products or services may be deemed accepted, subject to any mandatory rights under applicable law.
7. Warranty
* Products and/or services shall be covered by the warranty expressly stated in the quotation, invoice, contract, or applicable manufacturer warranty.
* Warranty coverage does not normally apply to damage caused by misuse, negligence, unauthorised modification, improper installation, normal wear and tear, or failure to follow operating instructions.
* The Company’s liability under any applicable warranty shall be limited to repair, replacement, or re-performance, as appropriate and subject to applicable law.
8. Customer Responsibilities
The Customer agrees to:
* Provide accurate and complete information required to fulfil the order.
* Provide reasonable access to premises where services or installation are required.
* Obtain any approvals, permissions, or permits that are the Customer’s responsibility.
* Follow all relevant instructions concerning the use, maintenance, and care of products or services.
* Make payments when due.
9. Cancellation and Returns
* Cancellation of an order must be made in writing and is subject to the Company’s acceptance.
* Special-order, customised, installed, or used products may not be eligible for cancellation or return except where required by applicable law.
* Any approved cancellation or return may be subject to applicable restocking, transportation, administrative, or other reasonable charges.
* Refunds, where applicable, will be processed in accordance with the agreed terms and applicable law.
10. Intellectual Property
All trademarks, designs, documents, drawings, specifications, photographs, content, software, and other intellectual property supplied by the Company remain the property of the Company or the relevant rights holder unless otherwise agreed in writing.
The Customer shall not reproduce, modify, distribute, or commercially use such materials without prior written permission.
11. Confidentiality
Both parties shall keep confidential any non-public commercial, technical, financial, or other confidential information received from the other party and shall not disclose such information to third parties except where required by law or necessary to perform the relevant agreement.
12. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, special, or consequential losses, including loss of profit, revenue, business, or opportunity.
Nothing in these Terms & Conditions shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
13. Force Majeure
The Company shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including natural disasters, fire, epidemic, war, civil unrest, government action, strikes, transportation disruption, utility failures, supply shortages, or other events of force majeure.
14. Compliance with Laws
Both parties shall comply with all applicable laws, regulations, governmental requirements, and industry standards relevant to the transaction.
15. Privacy and Personal Information
Any personal information provided by the Customer shall be handled in accordance with the Company’s applicable Privacy Policy and relevant data-protection laws.
16. Amendments
The Company may update these Terms & Conditions from time to time. The version applicable to an order or agreement shall be the version accepted by the parties at the relevant time, unless otherwise required by law.
17. Severability
If any provision of these Terms & Conditions is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms & Conditions, together with the applicable quotation, purchase order, invoice, contract, and any other documents expressly incorporated by reference, constitute the agreement between the Company and the Customer concerning the relevant transaction.
19. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by the laws of United Arab Emirates
Any dispute arising out of or in connection with these Terms & Conditions shall be subject to the jurisdiction of the competent courts of United Arab Emirates, unless otherwise agreed in writing or required by applicable law.
